Spot-Saver Terms and Conditions

1. Overview

This Spot-Saver Terms and Conditions agreement ("Spot-Saver Terms") governs your purchase of an Enthusiast SpeedWagon Spot-Saver ("Spot-Saver") from Strickland Motor Co ("Strickland," "we," "our," or "us") via Buy Me a Coffee or other authorized platforms.

By purchasing a Spot-Saver, you agree to be legally bound by these Spot-Saver Terms, our Terms of Service (www.stricklandmotorco.com/legal/terms), our Privacy Policy (www.stricklandmotorco.com/legal/privacy), and Buy Me a Coffee's terms of service. Please read these terms carefully before purchasing.

2. What Is a Spot-Saver

A Spot-Saver is a non-refundable digital product that provides you with priority queue positioning for the opportunity to configure and purchase an Enthusiast Edition SpeedWagon when production becomes available. A Spot-Saver is NOT:

• A vehicle purchase, reservation, or deposit

• A guarantee that you will purchase a vehicle

• A guarantee that the Enthusiast Edition SpeedWagon will be produced

• A locked-in price, delivery date, or vehicle configuration

• A contract to purchase a specific vehicle with a Vehicle Identification Number

3. What You Receive

Your Spot-Saver provides you with the following benefits:

• Priority queue positioning for Enthusiast Edition SpeedWagon configuration and purchase opportunities

• First access to configure an Enthusiast Edition SpeedWagon when your position in the queue is reached

• Invitations to test drive events for the Enthusiast Edition (subject to availability and location)

• Exclusive updates and information about the Enthusiast Edition SpeedWagon

• A $107.30 credit toward the final purchase price of an Enthusiast Edition SpeedWagon (if you complete a purchase)

4. Non-Refundable Policy

YOUR SPOT-SAVER PURCHASE IS 100% NON-REFUNDABLE UNDER ALL CIRCUMSTANCES. This includes, but is not limited to, situations where: (a) you change your mind; (b) you are unable or unwilling to purchase a vehicle when contacted; (c) the Enthusiast Edition is delayed or never produced; (d) Strickland ceases operations or files bankruptcy; (e) pricing exceeds your budget; (f) vehicle specifications change; or (g) any other reason whatsoever. By purchasing a Spot-Saver, you acknowledge and accept that there are no refunds under any circumstances.

5. Production Timeline and Priority

Production of Enthusiast Edition SpeedWagons will begin only after all 50 limited edition Champion SpeedWagons have been produced and delivered. There is no guaranteed or estimated timeline for when Enthusiast Edition production will begin.

Your priority in the queue is determined by the date and time of your Spot-Saver purchase. Earlier purchases receive higher priority. Champion Edition reservation holders have priority over all Spot-Saver holders.

Once Strickland reaches full production capacity and works through the backlog of Spot-Saver holders, your priority advantage diminishes. At that point, Spot-Savers provide minimal to no priority benefit.

6. Configuration Process

When your position in the queue is reached and Enthusiast Edition production slots become available, Strickland will contact you via email at the email address associated with your Spot-Saver purchase. It is your responsibility to:

• Maintain a current, working email address on file with Strickland

• Monitor your email for contact from Strickland

• Respond to our contact within the timeframe specified in our communication

• Notify Strickland of any changes to your contact information by emailing help@stricklandmotorco.com

If you fail to respond or cannot be reached, we reserve the right to move to the next person in the queue. You will not lose your Spot-Saver but may need to re-establish your position as described in Section 7 below.

7. Step Aside and Return Process

If we contact you and you are not ready or able to configure and purchase an Enthusiast Edition SpeedWagon, you may "step aside" from the queue. To step aside or to return to the queue when you are ready, contact us at help@stricklandmotorco.com with your Spot-Saver confirmation code.

When you notify us that you are ready to return to the queue, we will place you back at or near the front of the Spot-Saver queue, subject to Strickland's production capacity and availability. However, we make no guarantee about:

• How quickly you will be contacted after returning

• The availability of production slots

• The pricing or specifications available at that time

• Your exact position in the queue upon return

8. Transferability

Your Spot-Saver is transferable to another person at any time. There is no transfer fee. To transfer your Spot-Saver:

1. Email help@stricklandmotorco.com with your Spot-Saver confirmation code

2. Provide the recipient's full name and email address

3. We will update our records and issue a new confirmation code to the recipient

4. The transfer is complete when the recipient receives confirmation from Strickland

Once transferred, you no longer have any rights to the Spot-Saver. Transfers are final and cannot be reversed. The recipient assumes all rights and obligations under these Spot-Saver Terms.

9. Multiple Purchases and Gifts

There is no limit to the number of Spot-Savers you may purchase. You may purchase multiple Spot-Savers for yourself, as gifts for others, or for any other lawful purpose. Each Spot-Saver represents one opportunity to configure and purchase one Enthusiast Edition SpeedWagon. If you purchase multiple Spot-Savers, you will be contacted separately for each one as production slots become available.

10. Purchase Credit

If you complete the configuration and purchase of an Enthusiast Edition SpeedWagon, we will apply a $107.30 credit toward the final purchase price for each Spot-Saver you hold. This credit will be reflected in your final purchase agreement. If you do not complete a purchase, you receive no credit and no refund. The credit cannot be redeemed for cash and has no cash value.

11. Upgrade to Champion Edition

If you hold a Spot-Saver and wish to upgrade to a Champion Edition reservation, you may do so by:

1. Contacting reservations@stricklandmotorco.com

2. Paying the difference between the Spot-Saver price and the Champion reservation fee ($4,892.70)

3. Executing the Champion Edition Reservation Agreement

Upgrades to Champion Edition are subject to availability. There are only 50 Champion Edition spots available. Once upgraded, you forfeit your Spot-Saver and become subject to the Champion Edition Reservation Agreement. The $107.30 you paid for the Spot-Saver will be credited toward your $5,000 Champion reservation fee (so you pay $4,892.70 to upgrade).

Champion Edition reservations have different terms, including refundability. Please review the Champion Edition Reservation Agreement carefully before upgrading.

12. If Enthusiast Edition Is Not Produced

Strickland intends to produce the Enthusiast Edition SpeedWagon. However, in the event that:

• Strickland ceases operations

• Strickland files for bankruptcy or becomes insolvent

• The Enthusiast Edition is discontinued or never enters production

• Any other reason the Enthusiast Edition is not produced

You may choose to either: (a) apply your $107.30 credit toward the purchase of a different Strickland vehicle model (if available), or (b) forfeit your Spot-Saver with no refund or other compensation.

Under no circumstances are Spot-Saver purchases refundable, even if the Enthusiast Edition is never produced. By purchasing a Spot-Saver, you acknowledge and accept this risk.

13. No Guarantees

Strickland makes no guarantees or warranties regarding: (a) production timelines; (b) vehicle specifications, features, or performance; (c) pricing; (d) delivery dates; (e) availability of production slots; (f) the quality or characteristics of the Enthusiast Edition; or (g) any other aspect of the Enthusiast Edition SpeedWagon. All information provided is subject to change without notice.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, STRICKLAND'S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO YOUR SPOT-SAVER PURCHASE SHALL NOT EXCEED $107.30 (THE AMOUNT YOU PAID FOR THE SPOT-SAVER). STRICKLAND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF OPPORTUNITY, OR EMOTIONAL DISTRESS, EVEN IF STRICKLAND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15. Dispute Resolution and Arbitration

Any dispute arising out of or relating to your Spot-Saver purchase or these Spot-Saver Terms shall be resolved through binding arbitration conducted by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall take place in King County, Washington, or at another mutually agreed location or virtually.

CLASS ACTION WAIVER: YOU AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT.

You may opt out of this arbitration agreement by emailing legal@stricklandmotorco.com within 30 days of your Spot-Saver purchase with "Arbitration Opt-Out" in the subject line.

16. Governing Law

These Spot-Saver Terms shall be governed by the laws of the State of Washington, United States, without regard to its conflict of law principles. Any claims not subject to arbitration shall be brought exclusively in state or federal courts located in King County, Washington.

17. Changes to These Terms

Strickland may update these Spot-Saver Terms from time to time. We will post the updated terms on our website and update the "Last Updated" date. Your continued holding of a Spot-Saver after we post changes constitutes your acceptance of the updated terms. Material changes that negatively affect your rights will be communicated to you via email.
